1. Independent Contractor Relationship

Methodology: The specific manner in which a Contractor will perform services.

Availability: Continuous availability of any particular Contractor.

Accordingly, we disclaim any liability arising from Contractor delays, omissions, errors, or service interruptions. Our total liability in connection with Contractor-provided services is limited to the fees you have paid us for those services.

 

4. Warranties and Indemnification

No Warranty: All services provided by Contractors are offered “as is” and “as available,” without any warranty, express or implied (including any warranty of merchantability, fitness for a particular purpose, or non-infringement).

Indemnification: You agree to indemnify, defend, and hold harmless [Your Company Name], its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising out of or related to (a) a Contractor’s performance of services for you or on your behalf, or (b) your use of or reliance on any deliverables or recommendations provided by a Contractor.
